1. About These Terms

These terms govern your use of Refer, a curated referral network for New Zealand property and finance professionals. By applying for membership or using the Refer platform, you agree to these terms. Refer is operated by Refer Limited, based in Auckland, New Zealand.

2. Membership

Application & Acceptance

All memberships are subject to approval. Refer operates a curated network and reserves the right to accept or decline any application at its sole discretion. A fit call with the Refer operator may be required before approval.

Member Obligations

As a member you agree to:

• Respond to introductions and referral notifications within 48 hours
• Close the loop on referrals — report outcomes to referring partners
• Treat referred clients with priority and professionalism
• Not solicit or poach another member's clients
• Comply with all applicable New Zealand laws, including the Financial Markets Conduct Act 2013 and the Privacy Act 2020
• Maintain accurate business and contact information in your profile

Removal

Refer may suspend or terminate membership if a member consistently breaches these terms, ghosts partners or referred clients, provides poor service to referred clients, or misrepresents their business. We will always communicate concerns before removal except in cases of serious misconduct.

3. Pricing & Payment

Membership is offered on quarterly ($997 + GST) or annual ($2,997 + GST) subscription plans. All prices are in New Zealand Dollars and are exclusive of GST. Payment is processed via Stripe. Subscriptions renew automatically unless cancelled before the renewal date.

Cancellation

You may cancel your subscription at any time by contacting cameron@joinrefer.co.nz. Cancellations take effect at the end of the current billing period. No refunds are provided for partial periods except under the guarantee.

4. The Guarantee

If Refer does not deliver at least 4 hand-picked introductions in your first 90 days, you are entitled to a 50% refund of your first quarter plus 2 months of free membership.

To qualify for the guarantee:

• Complete onboarding within 7 days of joining
• Respond to introduction requests within 48 hours
• Not be in “strike” status for ghosting partners

An “introduction” means a personalised email connecting two members with match context. Both parties must have had the opportunity to engage.

5. Success Fees Between Partners

Refer facilitates introductions between members. Any commercial arrangements (including success fees) between members are private agreements between those members. Refer does not receive any portion of success fees and accepts no liability for fee disputes.

Members are responsible for ensuring any fee arrangements comply with applicable laws and industry regulations, including disclosure requirements under the Financial Markets Conduct Act 2013. Lawyers are exempt from success fee arrangements due to regulatory constraints.

6. Intellectual Property

All content, templates, matching algorithms, and platform features are owned by Refer Limited. Members may use resources provided (templates, guides) for their own business purposes. Members may not copy, redistribute, or resell Refer's materials, methodology, or member data.

7. Limitation of Liability

Refer facilitates professional introductions and does not provide financial advice, recommendations, or endorsements. Members are independent professionals responsible for their own compliance, service quality, and business outcomes.

To the maximum extent permitted by New Zealand law, Refer's liability is limited to the membership fees paid in the 12 months prior to any claim. Refer is not liable for any indirect, special, or consequential loss arising from membership or partner relationships.

8. Privacy

Your personal information is handled in accordance with our Privacy Policy and the New Zealand Privacy Act 2020. By becoming a member, you consent to your name, business details, and industry being shared with potential partner matches as part of the introduction process.

9. Changes to These Terms

We may update these terms from time to time. Material changes will be communicated to members via email. Continued use of Refer after changes constitutes acceptance of the updated terms.

10. Governing Law

These terms are governed by the laws of New Zealand. Any disputes will be resolved in the courts of Auckland, New Zealand.
